  1. PALTALK SOFTWARE LICENSE AGREEMENT
  2. ===================================
  3.  
  4. IMPORTANT - THIS IS A LEGALLY BINDING AGREEMENT BETWEEN A.V.M. 
  5. SOFTWARE, INC. ("AVM") AND YOU.  IT IS THE COMPLETE AND EXCLUSIVE
  6. STATEMENT OF THE TERMS AND CONDITIONS REGARDING YOUR USE OF THE
  7. PALTALK SOFTWARE, DOCUMENTATION AND ASSOCIATED MATERIALS ("SOFTWARE").

  9. BY SELECTING "I AGREE", BY CONTINUING THE INSTALLATION, BY USING THE
  10. SOFTWARE OR BY SIGNIFYING YOUR ACCEPTANCE IN ANY OTHER WAY, YOU AGREE
  11. TO BE BOUND BY THIS AGREEMENT.  IF YOU DO NOT AGREE WITH ALL THESE
  12. TERMS AND CONDITIONS, YOU ARE NOT AUTHORIZED TO USE THE SOFTWARE AND
  13. YOU SHOULD DISCONTINUE ANY FURTHER INSTALLATION OR USE THEREOF.

  15. LICENSE GRANT.  AVM grants to you a non-exclusive, non-transferable
  16. license this copy of the Software solely for your personal use on any
  17. desktop or other fixed or portable computer.  For purposes of this
  18. Agreement, the Software is considered to be "in use" when it is loaded
  19. into temporary memory (e.g., RAM) or installed into the permanent
  20. memory (e.g., hard disk, CD-ROM or other storage device) of such
  21. computer.

  23. OWNERSHIP.  The Software is proprietary to AVM and protected by United
  24. States copyright and other laws, as well as international treaty
  25. provisions and you must treat the Software as any other copyrighted
  26. and legally protected material.  You may not modify, adapt, translate,
  27. reverse engineer, decompile, disassemble the Software or create
  28. derivative works using or based on the Software, nor may you
  29. distribute, loan, rent, or lease, timeshare or use the Software to
  30. provide services for third parties, sublicense or transmit all or any
  31. portion of the Software, nor may you allow others to do so.  AVM
  32. reserves all rights not expressly granted herein.  AVM owns all right
  33. title and interest in and to the Software and nothing in this Agreement
  34. shall be construed to transfer, convey, impair or otherwise adversely
  35. affect AVM's ownership or proprietary rights therein or any other AVM
  36. information or materials, tangible or intangible, in any form and in
  37. any medium.
  38.  
  39. ACCOUNT INFORMATION.  YOU REPRESENT THAT YOU ARE AT LEAST EIGHTEEN (18)
  40. YEARS OF AGE. When you register for Paltalk, you will choose a username or
  41. nickname and an account (Paltalk UID) will be created for you. You may 
  42. not select a nickname which violates any copyright, third party's 
  43. trademark right or other proprietary right or a name which AVM deems
  44. in its sole discretion to be profane or in any way offensive.
  45. AVM reserves the right to delete any profane or offensive nicknames 
  46. and/or to require you to change your nickname.  You are entirely liable
  47. for all activities conducted through your Account and the nickname 
  48. registered to your Account. You may allow another person, including a
  49. minor, to use your Account and nickname subject to your supervision and
  50. assumption of all liability. You agree to provide AVM with accurate and 
  51. updated registration information; failure to do so would constitute a 
  52. breach of this Agreement and may result in the immediate termination of
  53. your account.  
  54.  
  55. NO REPRESENTATIONS OR WARRANTIES. THE SOFTWARE IS PROVIDED "AS IS"
  56. WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED,
  57. INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF
  58. MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  YOU ASSUME THE
  59. ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE AND THIS
  60. AGREEEMENT.  BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF
  61. IMPLIED WARRANTIES, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

  63. TERMS OF USE.  You, and anyone you authorize to use your Account,  may
  64. not engage in conduct which is unlawful or which inhibits another user 
  65. from enjoying Paltalk.  AVM reserves the right to terminate your 
  66. account if, in its sole discretion, it determines that you have 
  67. engaged in any prohibited conduct. AVM also reserves the right, but
  68. not the responsibility, to restrict conduct which AVM deems in its 
  69. sole discretion to be harmful or offensive to other users.  Without 
  70. limiting the foregoing, examples of unacceptable conduct include: 
  71. threatening, harassing, or intimidating another user, transmitting 
  72. any unlawful, threatening, abusive, profane, offensive, defamatory,
  73. or hateful communication or material, or any racially, ethnically or
  74. otherwise objectionable material; using any obscene or offensive alias; 
  75. impersonating another user, including, without limitation, an AVM
  76. employee or representative; disparaging the Paltalk service, AVM or
  77. its representatives or employees; posting or transmitting any 
  78. advertising, promotional materials or other forms of solicitation to 
  79. other users; disrupting the normal operation of any chat room or 
  80. otherwise acting in a manner that negatively impacts other users.

  82. LAW ENFORCEMENT.  AVM will fully cooperate with law enforcement in
  83. investigating suspected criminals and, notwithstanding any provision
  84. herein to the contrary, may release your name and other information 
  85. to the appropriate authorities for that purpose. You are completely
  86. and solely liable for all activity conducted by or through your 
  87. username.  AVM reserves the right to determine, in its sole discretion,
  88. what constitutes proper online behavior and may, without notice,
  89. suspend or terminate your access to Paltalk.
  90.  
  91. TERMINATION OF ACCOUNT.  In the event that you engage in conduct
  92. prohibited by this Agreement, or otherwise commit any other breach 
  93. of this Agreement, then ANY of the following may occur: you may be 
  94. issued a warning; your access to online chat groups may be suspeneded
  95. or use of your account may be temporarily or permanently blocked.
  96.  
  97. LIMITATION OF LIABILITY.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO
  98. EVENT SHALL AVM OR ANY OF ITS SUPPLIERS BE LIABLE OR RESPONSIBLE FOR
  99. ANY DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR
  100. LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR
  101. DATA, OR ANY OTHER INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL
  102. DAMAGES) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE,
  103. THE LICENSE OR OTHERWISE IN CONNECTION WITH THIS AGREEMENT, EVEN IF AVM
  104. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  106. U.S. GOVERNMENT RESTRICTED RIGHTS: The Software is provided with
  107. RESTRICTED RIGHTS. Use, duplication or disclosure by the Government is
  108. subject to restrictions as set forth in subparagraph (c)(1)(ii) of the
  109. Rights in Technical Data and Computer Software clause at DFARS
  110. 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer
  111. Software - Restricted Rights at 48 CFR 52.227-19, as applicable. 
  112. Manufacturer is A.V.M. Software, Inc., 213 West 35th Street, New York,
  113. N.Y. 10001.

  115. GOVERNING LAW.  In enforcing, interpreting and for all other purposes,
  116. this Agreement will be governed by the substantive laws of the State of
  117. New York. If a court determines any remedy provided to you under this
  118. Agreement has failed of its essential purpose, the limitations of
  119. liability and exclusion of damages and warranties above shall not
  120. be affected and remain in full force and effect.  The only way this
  121. Agreement can be modified is if an authorized representative of AVM
  122. agrees to do so in writing.
